REPRESENTATIVE
OFFICE OF A FOREIGN LEGAL ENTITY/COMPANY is a separate, legally
dependent organisational part of the founder which deals with preparatory
actions preceding contract conclusion, but which can not conclude
contracts, except for personal purposes.
Registration
application should be submitted on a prescribed form containing
data that are to be registered, or in form of a request containing
data that are to be registered.
The
following documents must be attached to the application for registration
of a foreign representative office:

Registration Certificate issued by the Register where the foreign
legal entity – founder has been registered, certified by the
relevant authority in the country of issue. If such Certificate
does not indicate the information about founder, its registered
address and authorised representative, it must be supported
by the documents containing those information (founding act
or similar);

Act
on establishment of a representative office;

Decision
on appointment of authorised representative, unless he/she has
been appointed under the founding act;

Evidence of bank accounts the founder uses for business transactions,
unless they have been listed in documents described in paragraph
1.;

Certified statement by which the founder takes full responsibility
for all liabilities arising from the operations of the representative
office;

Registration fee in the amount of 3,000.00 Dinars (evidence
of payment).
The
foreign language documents must be submitted together with their
translation in Serbian, certified by a court interpreter.
The
following information are required for registration of the representative
office :

business
name
-
address
-
date of registration
-
date of possible modifications
-
registration number assigned by the Statistical Office of the
Republic of Serbia, which is also the number under which the
office has been entered in the Register
-
tax identification number (TIN)
-
bank account(s) number(s)
-
name and social insurance number (SIN) of the authorised representative,
as well as his/her scope of authority
-
business name, legal form and address of the founding legal
entity-company, its registration number in home country and
name of the registering authority
If
available, the following information are also entered:
- business
name in foreign language
- names
and SINs of other authorised representatives, as well as description
of their authorities
Upon
the request of the representative office, the following information
can also be recorded in the Register: phone and fax numbers, e-mail
address, web site address. The Register also provides records on
closed representative offices and other important business operations
information.
All
changes in information contained in the Register are recorded in
accordance with the law.
